Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and AetherKeys ("AetherKeys", "we", "us", or "our") governing your access to and use of the AetherKeys website, web application, and related services (collectively, the "Service"). By creating an account, uploading content, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

The Service accepts audio recordings supplied by the User and applies machine-learning models to produce an approximate MIDI transcription, an interactive 3D visualization, and related outputs (collectively, "Outputs"). Transcription is inherently imperfect; the Service makes no guarantee of fidelity, completeness, or musical correctness of any Output.

3. Eligibility & Accounts

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

4. User Content & Required Rights

"User Content" means any audio file, recording, metadata, or other material you upload, submit, or otherwise make available through the Service. You retain ownership of your User Content.

By uploading User Content you represent, warrant, and covenant that:

  • You own the User Content outright, or you hold all licenses, consents, permissions, and rights (including any applicable mechanical, synchronization, public-performance, master, or moral rights) required to upload it and to have the Service process it as contemplated by these Terms.
  • Your upload and our processing of the User Content does not and will not infringe, misappropriate, or otherwise violate the intellectual property, privacy, publicity, contractual, or other rights of any third party, and does not violate any applicable law or regulation.
  • If the recording embodies a musical composition, sound recording, or performance owned by a third party, you have obtained any licenses or authorizations required from the relevant rights holders (e.g., songwriters, publishers, record labels, performing-rights organizations) for the use you are making of the Service.
  • The User Content does not contain content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, malicious, or otherwise objectionable.

You grant AetherKeys a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, encode, transcode, analyze, transcribe, and otherwise process the User Content solely for the purpose of operating, providing, securing, and improving the Service for you. We do not claim ownership of your User Content, and we do not sell it.

You are solely responsible for your User Content and the consequences of uploading it. If you are not certain you have the necessary rights, do not upload the file.

5. Acknowledgement Required Before Upload

Before submitting an upload, the Service will require you to affirmatively acknowledge that you have the rights described in Section 4. That acknowledgement is a condition of using the transcription functionality and is incorporated by reference into these Terms.

6. Outputs

Outputs are generated automatically and may reflect, in part, the underlying musical work and recording supplied as input. Your rights to use, distribute, perform, or publish the Outputs are limited by, and subject to, the rights held in the underlying User Content. AetherKeys does not grant, and cannot grant, any rights in third-party musical works or recordings.

7. Acceptable Use

You agree not to:

  • Use the Service to infringe, misappropriate, or violate any third-party right;
  • Reverse-engineer, decompile, scrape at scale, or attempt to extract the underlying models or training data;
  • Interfere with, disrupt, or place an undue load on the Service, its infrastructure, or other Users (including denial-of-service attempts, mass-account creation, or quota circumvention);
  • Upload malware, exploit code, or content designed to harm the Service or its Users;
  • Resell, sublicense, or commercially redistribute the Service without our prior written consent.

8. Billing, Tokens & Subscriptions

Paid plans, daily tokens, and top-up packs are provided through our payment processor (Stripe). By purchasing a plan or top-up, you authorize the processor to charge your payment method on the terms shown at checkout. Daily allowances reset each day in UTC and do not roll over. Purchased top-up tokens do not expire. Subscriptions renew automatically until cancelled through the Stripe customer portal; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

9. Copyright Complaints (DMCA)

If you believe content processed through the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. §512(c)(3) to aetherkeys.contact@gmail.com. Repeat infringers will have their accounts terminated.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms or where required to protect the Service or other Users. You may stop using the Service at any time. Sections that by their nature should survive termination (including 4, 6, 11, 12, 13, and 14) will survive.

11. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. AETHERKEYS DOES NOT WARRANT THAT TRANSCRIPTIONS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AETHERKEYS, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. AETHERKEYS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS PAID BY YOU TO AETHERKEYS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD $50.

13. Indemnification

You agree to defend, indemnify, and hold harmless AetherKeys and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your use of the Service, or (c) your breach of these Terms or violation of any law or third-party right.

14. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes to these Terms will be indicated by updating the "Last updated" date above and, where practicable, by additional notice. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which AetherKeys is established, without regard to its conflict-of-laws principles. Disputes arising out of or relating to these Terms or the Service will be brought exclusively in the competent courts of that jurisdiction, except where prohibited by applicable mandatory law.
